Derek has worked in public accounting since 2014. He specializes in the tax implications of mergers and acquisitions, restructuring, and other types of transactions, including leading both buy-side and sell-side tax due diligence and tax structuring engagements.
Derek has deep technical knowledge of Section 382 net operating loss issues, and frequently addresses Section 280G change in control payment issues, stock basis, and earnings and profits computations, and transaction costs. He also creates tax models and other illustrations analyzing cash taxes, attributes, stock versus asset sales, and purchase price allocations.
Prior to Moss Adams, Derek worked for a Big Four firm, focusing on M&A tax services for large corporate and private equity clients in a wide range of industries. Derek has led and collaborated with numerous domestic, international, and specialty tax deal teams on transactions in the billions of dollars.
